Consequently, by accepting this policy, the recipient of Confidential Information undertakes (i) to keep the strictest secrecy regarding all Confidential Information provided to it, or previously provided to it, by the STRUGAL GROUP, or to which it has or has had access through the channels and platforms made available by companies belonging to the STRUGAL GROUP; and (ii) not to disclose, directly or indirectly, the Confidential Information provided or made available to it by the STRUGAL GROUP by any means. Confidential Information shall mean all information supplied or made available by any of the companies belonging to the STRUGAL GROUP by any means, as well as any development carried out by the recipient of the Confidential Information using it. In particular, Confidential Information means all information relating to companies belonging to the STRUGAL GROUP or to companies belonging to the same group of companies for the purposes of article 42 of the Spanish Commercial Code, which is provided or made available, by any means, to the receiving party for the sole purpose of marketing products of the STRUGAL GROUP, regardless of its subject matter (technical, commercial, industrial, economic-financial, business or any other type of trade secret of the STRUGAL GROUP in the broadest sense of the term). By way of example but not limitation, Confidential Information shall include all types of: industrial secrets, relating to technical knowledge affecting the way of manufacturing products or applying procedures, such as discoveries, inventions or industrial applications, industrial or intellectual property rights, know-how relating to the STRUGAL GROUP, technical product specifications, and computer files containing designs, plans and drawings of aluminium profiles; trade secrets of the STRUGAL GROUP, which includes everything affecting the internal organisation of the STRUGAL GROUP (administration) or the relationships between its companies and their customers, their suppliers or any other aspect of their commercial or business activity, corporate matters, or any information that could be considered as, or is directly or indirectly related to, the trade secrets of STRUGAL. Likewise, Confidential Information shall mean (a) any copy or reproduction, in whole or in part, that may be obtained from or is supplied of the Confidential Information, and any other information or data the knowledge or verification of which has been made possible or facilitated by access to the content of the information provided by the STRUGAL GROUP. The party accepting this confidentiality policy expressly acknowledges the exclusive ownership of the STRUGAL GROUP over the Confidential Information, and undertakes to: use the technology and information transmitted exclusively in connection with and for the marketing of the products of the STRUGAL GROUP; not modify (including reverse engineering), alter, copy, publish or disclose, in whole or in part, the confidential information transmitted; not communicate or transfer to third parties, by any means, the technical information to which it has had access; ensure that its technical staff/employees comply with this obligation of secrecy, even when they are no longer employed by the company; maintain the obligation of secrecy even after this policy ceases to have effect for any reason; prevent any type of copying or use of the Confidential Information for purposes other than those undertaken upon acceptance of this Policy. If so required by any company belonging to the STRUGAL GROUP, the recipient, by signing this policy, expressly undertakes, within a maximum period of FIVE (5) days from the relevant notice, to return, where applicable, all information transmitted or to which it has had access through channels enabled by the STRUGAL GROUP or by any other means under this policy and, should this not be materially possible, to destroy it completely. The STRUGAL GROUP gives no warranty as to the accuracy or completeness of the Confidential Information provided or to be provided and does not undertake to report any changes that may occur in such information, and the recipient may not claim any amount from any of the companies of the STRUGAL GROUP, their lawyers, agents, representatives, employees, directors or shareholders by reason of the content of the Confidential Information to which it has had access.
